PURPOSE OF POSITION: 1. Manage the legal risks (and Legal function) for the worldwide Industrial Process Value Center [and, when requested, provide legal support for the Motion Technologies Value Center in North America and Latin America]. 2. Provide legal counsel and guidance to the directors, officers, management and employees of the various legal entities and businesses that comprise the IP Value Center on a comprehensive variety of topics and initiatives having a substantial impact on the course of the business and the overall success of the Value Center. 3. Assist as and when requested, the Parent Company Legal Department counsel charged with responsibility to manage and handle the asbestos litigation of Goulds Pumps, Inc. MAJOR RESPONSIBILITIES '' Implement preventive law programs including compliance and tracking programs for distribution and sales representative networks, supply networks and training initiatives for real estate compliance and other functions of the businesses. '' Determine and execute legal strategies and action where appropriate and defend Industrial Process companies in any legal action initiated against them in relation to ongoing business. '' Prepare and/or review and negotiate proposed contracts and other legal instruments to safeguard IP''s interests and accomplish its goals. '' Review legal aspects of sales, pricing and promotion programs, as well as worldwide distribution and supply arrangements. '' Review legal implications of acquisitions, divestitures and joint ventures and assist with such initiatives as required. '' Provide legal advice regarding relations with municipal, state and federal government agencies. '' Handle shareholder and director resolutions and manage corporate minute books for all the Industrial Process Value Center companies. Retain and supervise outside counsel, as required, to obtain legal opinions and handle claims and litigation. '' Work jointly with business management to institute ITT''s corporate compliance programs, including FCPA compliance, on a worldwide basis for IP. '' Assist IP compliance with investigations involving wrongdoing and recommend responses. '' Monitor and reduce legal expenditures for all litigation and all matters where outside counsel is retained '' Act as primary legal counsel to Financial Resource Center (FRC) regarding credit and financial matters, including disputes with customers and bankruptcies. '' Assists Human Resources in controlling, resolving and avoiding all areas of labor conflict within assigned units. '' Provides advice, counsel and direction throughout the Company on union formation matters, labor negotiation preparations and management of strike activities and arbitration, representing the Company as advocate when necessary. '' Provides advice, counsel and direction to client companies on OFCCP compliance and EEO matters and files reports as necessary. '' Provides guidance in all Labor and Employment Law areas including NLRA, WARN, FMLA, ADA, FLSA, ADEA etc. '' Develops and provides trade and compliance policy, strategy and regulatory advice. '' Designs, evaluates, implements and monitors export compliance programs. '' Maintains expert-level knowledge of all applicable commercial export legislation and regulations. Ensures IP compliance with all export control laws and regulations. Provides advice to all ITT groups and Value Centers on export licensing compliance. '' Conducts and/or oversees periodic internal Value Center audits or reviews to ensure export compliance programs are current and robust. '' Oversees the foreign representatives and agents consultancy process, to ensure compliance with all laws, including the FCPA, as well as business-efficiency for ITT. '' Develops and directs IP offset strategy and program, and coordinates offset programs for all of IP. '' Develops and directs ITT policy and programs for compliance with other laws and regulations affecting international trade and business, including (by way of example) anti-boycott regulations. '' Serves as a primary interface with Government agencies on trade and compliance issues. '' Works with Corporate Relations to review press releases. '' Works with Human Resources to review documents for compliance with plan terms, rules and regulations in connection with compensation plans and programs. '' Assists Treasury, Finance and other Departments with corporate transactions and shareholder matters.  Required Experience:  Education: J.D. Admitted to the New York State Bar (or possessing the qualifications required for current admission). Background in general counseling of large manufacturing business or broad law firm commercial practice providing services to same. Experience in labor, employment, commercial contracts, export controls and anti corruption a plus Experience: 10+ years of experience in house or law firm counseling on broad spectrum of business matters 10+ Years applicable government or business experience Skills/Knowledge: - Professional knowledge of labor relations and labor and employment laws in the US and other countries. Negotiation and motivation skills - Ability to accomplish goals under intense, heavy pressure environment within strict and unchangeable time requirements - Ability to obtain cooperation and acceptance at all levels of management and with diverse employee groups - Detailed knowledge of business needs and requirements in trade and compliance and knowledge of applicable regulatory requirements - Demonstrated judgment in the area of anti corruption measures worldwide
