The Vice President - Assistant General Counsel (AGC) position represents the organization in the negotiation of complex commercial transactions with a focus on technology, data, outsourcing and real estate agreements. The AGC will provide guidance and in-depth analysis of legal issues, related to the operations of an insurance company and will lead a team to provide solutions that enable internal customers to achieve their goals while limiting organizational exposure to liability. He or she will work with a global team on some matters review, which necessitates periodic non-standard working hours.

Primary Responsibilities
  • Advise on complex legal matters by utilizing legal expertise and strategic thinking to assess risk and recommend effective and appropriate solutions
  • Review, draft and negotiate a variety of contracts
  • Influence cross-functional decision-making by collaborating with internal partners and leading multi-disciplinary teams to guide development of company policies and best practice
  • Manage moderate to high impact projects by defining scope, setting milestones, delegating tasks, tracking progress and reporting project results to ensure successful and efficient implementation
  • Identify and evaluate legal risks by anticipating problems, tracking organizational developments and recommending solutions to mitigate risks proactively and limit company exposure to liability
  • Represent company in legal disputes by negotiating with external parties, organizing responses to legal communications and minimizing damage to protect organizational interests and ensure realization of business objectives
  • Manage one or more direct reports
  • Manage budgeted resources by anticipating expenditures, accurately forecasting resource needs/costs and properly accounting for expenses to meet requirements and achieve fiscal responsibility

Required Qualifications

Education: Doctoral Degree

Experience: 7 years relevant experience

Licenses/Certifications: Admitted to the Bar

Work environment

Travel frequency: Infrequent (approximately 1-4 trips annually)

Physical demands: General office jobs: Work is generally performed in an office environment in which there is not substantial exposure to adverse environmental conditions. Must have the ability to remain in a stationary position for extended periods of time. Must be able to operate basic office equipment including telephone, headset and computer. Incumbent must be able to lift basic office equipment up to 20 lbs.
