Prime Brokerage Compliance Officer

Compliance Officer Responsibilities: The Prime Brokerage Compliance Officer ("PBCO") will provide real time compliance advisory support and guidance to the newly established US Prime Brokerage business which is part of HSBC's US Securities Financing business. As this is a newly formed business, the PBCO will provide risk stewardship to the ongoing development and implementation of the risk and control framework necessary for the establishment and operation of a US Prime Brokerage business. This role will require the person to work independently with the ability to make decisions on demand in a fast paced environment.

In addition, the PBCO will establish strong partnerships with key functions that will support the Prime Brokerage business, including product managers, operations, control office, IT, Legal, as well as key counterparts in the broader Markets and Securities Services ("MSS") Compliance and Business organizations across the globe. The PBCO will also conduct periodic training sessions for the Prime Brokerage business as necessary/required to ensure key regulatory requirements and HSBC policies are understood and adhered to by the prime brokerage business. The PBCO will also provide subject matter expertise in responding to various regulatory inquiries specific to the Prime Brokerage business and represent regulatory compliance in both internal and external audits and exams of the business.

The ideal candidate should have a working knowledge of the operations of a prime brokerage business within a US Broker Dealer and a solid understanding of the various rules and regulations that are applicable to this line of business, including, but not limited to, SEC Regulation SHO, Regulation T, Custody and Operations, Sales and Communications, Regulatory Reporting, as well as rules related to Securities Lending Activities. A general understanding of Equities trading is a plus for this role.

Regulatory Change Responsibilities: The PBCO will assess complete rule text, regulatory guidance and recent cases to understand which regulatory obligations and expectations are applicable to the US Prime Brokerage business. The PBCO will also assess the potential impacts of major rule changes and the regulatory risks associated with the different approaches the firm might take. As part of a global and regional team, the PBCO will also connect implementation and remediation work back to the firm's overall regulatory risk management program. This includes assessments of new rules published by unfamiliar regulatory bodies (e.g., state rules, regional, and other extraterritorial rules).

Impact on the Business
  • Provides advisory services and direction to all business and support areas regarding assigned regulations, regulatory requirements, and/or compliance risks.
  • Maintains thorough and current knowledge of regulations and business practices associated with the role (measured by direct manager's assessment).
  • Provides effective advice, counsel, and support on all related matters of compliance and regulatory risk (measured by findings from the three lines of defense). Compliance Officers (LCOs) to ensure products and services comply with applicable laws and regulations. Coordinates development and maintenance of supporting policies, procedures, agreements, and contracts.
  • Generally supports an effective control environment by consulting with the line of business LCO and business partners on the development of and changes to products and services and new vendor relationships.
  • Provides guidance on new and modified regulations as well as current risk assessment results related to assigned regulatory requirements.
  • Ensures that a Training Needs Assessment (TNA) has been created for assigned regulation(s), regulatory requirements, and/or compliance risk to reflect the training required by the lines of business and by Compliance on an annual basis.
  • Prepares summaries on compliance with assigned regulation(s), regulatory requirements, and/or compliance risks for senior management, and/or Committees/Boards or Executives as required.

Customers / Stakeholders
  • Fosters positive working relationships with business line management, internal control, and appropriate senior management stakeholders to support adherence to assigned regulation(s), regulatory requirements and/or compliance risks. Offers guidance and advice to appropriate stakeholders.
  • Liaises with LCOs, Business Risk and Control Officers and other Compliance stakeholders to ensure a strong second line of defense and in support of first line of defense efforts and responsibilities.
  • Interacts and fosters relationships with applicable regulators.
  • Develops external contacts, as appropriate, among industry peer groups to determine/validate the Company is aligned with industry best practice.
  • Monitors, in coordination with the line of business LCOs, the status of any related material compliance issues identified and reported by Regulatory Compliance Review and Assurance (RCRA), Control Office, regulators or Internal Audit and provides updates to business unit management as necessary.

  • Bachelor's degree required, Master's or JD is a Plus.
  • Series 7,63,99 (preferred but not required).
  • Robust understanding of Broker Dealer rules and regulations related to Prime Brokerage.
  • Effective writing and presentation skills.
  • Strong interpersonal and communications skills with the ability to interact with a demanding constituency.
  • Ability to work independently and under pressure in a fast paced environment.
  • Excellent problem solving and analytical skills.
  • Highly motivated and willingness to take on multiple challenges with competing priorities.
  • Confident in working with IT and various systems that support the Prime Brokerage business.
