Senior Paralegal

Role Value Proposition:

We are seeking an experienced paralegal to join the in-house Legal Services Team to support the Legal Affairs department and work closely with our Investments legal professionals. This paralegal position will primarily support the Products, Distribution and Operations Unit of the Investments Section in the Law Department and will also support the work of other areas of the department including Investments Section initiatives and Legal Services Team initiatives. We expect that this role will support workflow for MetLife Investment Management asset classes and in particular, all fund activities, maintenance of the documents portal, including operating agreements (e.g., investment management agreements, participation agreements and note purchase agreements) and coordination for regulatory, auditing, compliance and business practices reporting.

Key Responsibilities:

This paralegal role supports various attorneys and other enterprise projects around the country. Assists with transaction closings. Prepares first draft and negotiates basic routine agreements with supervision. Coordinates and prepares for periodic audits and business reporting. Excellent organizational and administrative skills including Word, PowerPoint and Excel required. Relies on experience and judgment to plan and accomplish goals. Works independently and under the general supervision of attorneys. Reports to on-site attorneys and an off-site manager of paralegals.

Essential Business Experience and Technical Skills:

  • Corporate transaction experience including tracking transaction milestones from beginning to end, including due diligence, transaction documentation and post-closing matters.
  • Real estate or corporate experience including transaction closings, confidentiality agreements, satisfactions and releases.
  • Maintain master list of registered entities and Authorized signatories.
  • Responsible for preparation of minutes/corporate governance documents for assigned entities. Prepare agendas/participate in board meetings to keep minutes where needed as directed.
  • Demonstrated strong attention to detail, organization and skilled at proofreading documents.
  • Notary Status will be required for this position in order to notarize closing documents.
  • Proficient in Word, Excel, PowerPoint, eDocs, SharePoint, Outlook, Workshare Compare, Westlaw, Lexis
  • Strong record of success in collaborating with diverse personalities and operating in a team environment.
